• Organization Use: If using the Service on behalf of an organization, you represent that you're authorized to accept these Terms for that organization

Cellophane™ provides a contextual commentary layer over third-party webpages. The Service operates as an independent overlay and is not affiliated with third-party sites unless expressly stated.

Visibility Settings:

• Public: Content marked as public may be visible to all Cellophane users viewing that webpage
• Friends: Visible only to users you've connected with
• Private: Visible only to you
• Groups/Teams: Visible to members of specific collaboration spaces

6. 📝 Your Content: Rights & Licenses

Your Ownership

You retain ownership of your content. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute such content solely to operate and provide the Service, as described in our Privacy Policy.

License to Cellophane

You grant Cellophane AI Ltd. a non-exclusive, worldwide, royalty-free license to host, cache, reproduce and display your User Content, and to make technical modifications necessary for transmission, storage, formatting and display via the Service. This license is solely for operating and improving the Service. We will not use private or access-restricted content for advertising or promotional purposes without your express consent.

Users must not use the Service to:

1. Incite or threaten violence or harm
2. Disclose another person's sensitive personal information ('doxxing') or otherwise unlawfully process personal data

4. Infringe intellectual property or other rights
5. Impersonate others, defraud, phish, distribute malware, or attempt to bypass technical protections
6. Violate applicable law

Where content is lawful yet potentially offensive or distressing, we may apply labeling, reduced visibility, or user-controlled filters instead of removal. We may act immediately, including removal or suspension, where we reasonably believe there is imminent risk.

Enforcement Ladder

Our graduated enforcement approach: Warning → Targeted removal → Suspension → Termination. We allow immediate action for imminent harm.

9. 🌐 Site/Domain Owner Rights

Site or domain owners may submit objections or requests concerning overlay content referencing their properties to support@cellophane.ai.

Verification Process:

• We may require verification of domain ownership (e.g., DNS TXT record or return-email from an administrative contact)
• Following verification, we will review requests in good faith and respond within a reasonable time
• An appeal mechanism will be offered for contested decisions

Cellophane grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use our software, extensions, and apps solely to access the Service.

2. Circumvent security or access controls
3. Rent, lease, sell, or sublicense the software
4. Create derivative works without permission
5. Misuse APIs or scrape content at scale
6. Overload or interfere with our infrastructure

If you believe content infringes your intellectual property, please send a notice to support@cellophane.ai including:

• Your contact details
• A description of the work and allegedly infringing material
• Its location on the Service
• A statement of good-faith belief in the infringement
• A statement made under penalty of perjury that the information is accurate and that you are the rights holder or authorized to act

We may remove or restrict access to the material and, where appropriate, terminate accounts of repeat infringers.

If paid features are offered, you agree to pay applicable fees, taxes and charges. Unless required otherwise by law, fees are non-refundable once the billing period begins. We will provide reasonable notice of price changes. You authorize us or our payment processors to charge your selected payment method.

15. 📝 Changes to Service, Pricing and Terms

We may update these Terms or adjust features or pricing. Where changes are material, we will provide reasonable advance notice before the effective date by posting the updated Terms and/or contacting you at support@cellophane.ai if available.

If you do not agree to the changes, you must stop using the Service before they take effect. Continued use after the effective date constitutes acceptance.

Our Rights

We may suspend or terminate access where we reasonably believe there is a breach of these Terms, legal risk, or security threat. We may suspend or terminate access if we reasonably believe the account does not meet the Eligibility requirements or if required to comply with law.

Effects of Termination

Upon termination, your right to use the Service ends. We may retain or delete data in accordance with law and our Privacy Policy. Certain provisions by their nature survive termination (including ownership, licenses granted for operation already performed, disclaimers, limitations of liability, indemnities, and dispute resolution).

Any dispute shall be finally resolved by arbitration under the LCIA Rules; the seat of arbitration shall be London, England; the language shall be English.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or stop unauthorized access, misuse, or infringement of intellectual property or confidential information.

• Language: These Terms are drafted in English (UK) and that version controls. Translations are provided solely for convenience
• Assignment: You can't transfer these Terms; we may assign to affiliates or successors

• No Waiver: Failure to enforce isn't a waiver of our rights
• Force Majeure: Not liable for events beyond reasonable control
• Entire Agreement: These Terms (with incorporated policies) are the complete agreement
